    Summary

    INSCI Corp is a leading provider of innovative technology solutions that incorporate enhanced Internet and electronic commerce capabilities for managing and distributing large volumes of high-value business transaction documents and reports.

    INSCI offers an integrated suite of software products that facilitates a broad range of business processes including electronic document archiving and retrieval, document management, workflow management, document imaging, data mining and report analysis, Internet-enabled production printing, and processing of electronic commerce (e-commerce) transactions using Internet-enabled capabilities. INSCI products are consistently rated in the top of their class by research and analyst groups such as Doculabs, Gartner Group, Imerge Consulting and others.

    INSCI’s core product technology, COINSERV™, is based on client-server architecture that is highly scalable with versions for Windows® NT and such UNIX platforms as IBM AIX, Sun® Solaris™, HP HP/UX, SCO UnixWare and Unisys SVR4. COINSERV for Windows NT was selected as Product of the Year over competing products in the COLD (Computer Output to Laser Disk)/Enterprise Report Management (ERM) category by Imaging and Document Solutions magazine in its January ‘99 issue.

    INSCI strategic relationships include Unisys, Xerox, Fuji/Xerox, Moore North America, Moore Emerging Technologies, Storage Technology Corporation, First Data Investor Services and Document Sciences Corporation. Through marketing efforts with its partners and its direct sales force, INSCI has a presence in most major corporate sectors. COINSERV is used in banking, financial services, telecommunications, insurance, utilities, manufacturing, healthcare, government and is adaptable to many other industry environments.

    While fiscal 1998 sales were negatively impacted by the transition to and development of COINSERV for Windows NT, sales in fiscal 1999 have rebounded. International sales have increased rapidly and domestic sales are also showing steady gains. Approximately 50% of INSCI revenues are currently generated from software licensing fees, with the remaining 50% derived equally from integration services and training, and on-going software maintenance contracts.

    Outlook

    As corporations and institutions have increasingly moved to using the Internet, Intranets and Extranets to communicate and interact externally and internally, the Web has become an essential part of the engine that will drive future economic expansion. It is also the backbone of the rapidly emerging world of e-commerce. According to a December 1998 Special Report in The Wall Street Journal, e-commerce will grow to a $1 trillion market in the next decade. In the same report, estimates on the size of the e-commerce market for 1998 ranged from $31 billion to $51 billion, depending on the research firm interviewed. According to various industry analysts, the market for Windows NT products is also expected to grow at over 100 percent per year and digital document repository software in this area is expected to grow at an even faster rate.

    INSCI believes that Internet-enabled digital documents will become a key element in most future e-commerce transactions. Since COINSERV provides the critical "digital back office" and link to the Internet needed to support e-commerce, INSCI, through its own product portfolio and in concert with strategic partner offerings, is well positioned to capture a significant share of this new and expanding market opportunity.
